These Terms of Service govern your use of the Tailor AI Studio website and all services I provide. Please read them carefully. By engaging my services or using my website, you agree to be bound by these terms.

1. Agreement to Terms

By accessing or using the services provided by Tailor AI Studio, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree to these terms, please do not use my services or website. These terms apply to all visitors, users, and clients who access or use my website, request a consultation, or engage me for any design or marketing service.

I reserve the right to update or modify these Terms of Service at any time without prior notice. Changes will be effective immediately upon posting to my website. Your continued use of my services after any changes constitutes your acceptance of the revised terms. I encourage you to review these terms periodically.

2. About Tailor AI Studio

Tailor AI Studio is a sole proprietorship founded and operated by Jessica Martinez. I am a woman-owned, one-person boutique studio based in the United States, providing professional web design, development, marketing materials, branding, and digital consulting services for small businesses and solopreneurs. When you work with Tailor AI Studio, you work directly with me — not a team of account managers or contractors.

My services include but are not limited to:

  • Custom website design and development (single-page and multi-page)
  • High-converting landing page creation and optimization
  • Business card design and print-ready file preparation
  • Flyers, brochures, and marketing collateral design
  • Lead magnets including ebooks, checklists, and downloadable guides
  • Brand identity design including logos, color systems, and typography
  • Social media templates and digital marketing assets
  • Pitch deck and presentation design
  • Digital marketing consulting and strategy

The specific scope, deliverables, timeline, and pricing for each project will be outlined in a separate project proposal or service agreement provided before work begins. These Terms of Service apply to all projects and engagements unless otherwise specified in writing.

3. Client Responsibilities

A successful project requires active collaboration. As a client, you agree to fulfill the following responsibilities throughout our engagement:

  • Provide accurate, complete, and timely information necessary for project completion, including brand assets, content, and any specific requirements
  • Respond to communications, review requests, and feedback rounds within the timeframes specified in your project proposal (typically 2–3 business days)
  • Ensure that you have full legal rights to any content, images, logos, trademarks, or other materials you provide to me for use in your project
  • Make payments according to the agreed-upon schedule as outlined in your project proposal
  • Review and approve or provide feedback on deliverables within the specified timeframe; failure to respond may result in project delays
  • Communicate any changes to project scope, goals, or requirements as early as possible to avoid unnecessary rework

Delays caused by the client — including late feedback, delayed content delivery, or extended periods of non-communication — may result in project timeline extensions. I am not responsible for missed deadlines that result from client-side delays.

4. Payment Terms

Payment terms will be outlined in detail in individual project proposals or service agreements. The following general payment policies apply to all engagements:

  • A non-refundable deposit (typically 50% of the total project fee) is required before work begins. This deposit covers initial consultation, project planning, and early design work.
  • The remaining balance is due upon project completion and before final file delivery or website launch.
  • For larger projects, a milestone-based payment schedule may be established in the project proposal.
  • All prices are quoted and invoiced in US Dollars (USD) unless otherwise specified in writing.
  • Invoices are due within 7 days of issuance unless otherwise agreed upon in writing.
  • Late payments beyond 14 days may incur a late fee of 1.5% per month on the outstanding balance.
  • I reserve the right to pause or suspend work on a project if payment is not received according to the agreed schedule.

I accept payment via bank transfer, PayPal, and other methods as specified in your invoice. If you have questions about payment options, please discuss them with me before the project begins.

5. Intellectual Property Rights

Intellectual property rights are an important aspect of my client relationships. Here is how ownership works:

Client Ownership: Upon receipt of full payment, clients receive full ownership rights to the final deliverables created specifically for their project. This includes website files, design assets, and any other materials produced exclusively for the client's use.

My Rights: I retain the right to:

  • Display completed work in my portfolio, website, and marketing materials as examples of my work
  • Use project examples in case studies, social media posts, and promotional content
  • Retain ownership of all preliminary concepts, drafts, and unused design directions
  • Retain ownership of any proprietary tools, templates, processes, or methodologies developed or used during the project

Third-Party Assets: Some projects may incorporate licensed stock images, fonts, icons, or other third-party assets. Clients are responsible for ensuring they have appropriate licenses for any third-party assets they request me to use. I will inform clients when licensed assets are used and provide guidance on licensing requirements.

6. Revisions and Change Requests

The number of revision rounds included in each project will be clearly specified in the project proposal. Revisions are defined as minor adjustments to the approved design direction — changes to colors, fonts, copy, layout tweaks, and similar refinements.

Additional revisions beyond the agreed scope may be accommodated at an hourly rate, which I will communicate to you before any additional work begins. Major changes to the project scope, direction, or concept after work has begun — such as a complete redesign or significant expansion of deliverables — will require a revised proposal and may incur additional fees.

I encourage clients to consolidate feedback into clear, specific revision requests at each stage to keep the project moving efficiently and avoid unnecessary back-and-forth.

7. Project Timelines and Delivery

Estimated project timelines will be provided in each project proposal. These timelines are based on the agreed scope of work and assume timely client feedback and content delivery. I will make every reasonable effort to meet the agreed timeline.

Delays caused by the client — including late feedback, delayed content delivery, or extended periods of non-communication — may extend the project timeline. In such cases, I will communicate the revised timeline as soon as possible.

Rush projects (requiring delivery faster than the standard timeline) may be accommodated for an additional rush fee, subject to my current availability. Rush requests must be discussed and agreed upon before the project begins.

8. Cancellation and Refund Policy

If you wish to cancel a project, please notify me in writing as soon as possible. The following cancellation policy applies:

  • Before work begins: The deposit is non-refundable as it covers consultation, planning, and administrative time already invested.
  • After work has begun: You will be invoiced for all work completed up to the point of cancellation, based on the percentage of the project completed. Any amount paid beyond the work completed will be refunded.
  • After final delivery: No refunds are available once final files have been delivered and accepted.

If you are dissatisfied with my work, I strongly encourage you to communicate your concerns before requesting a cancellation — I am committed to making things right and will work with you to find a satisfactory resolution.

9. Limitation of Liability

Tailor AI Studio (Jessica Martinez) shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from your use of my services, including but not limited to loss of profits, loss of data, loss of goodwill, business interruption, or any other commercial damages or losses, even if I have been advised of the possibility of such damages.

My total liability to you for any claim arising from or related to my services shall not exceed the total amount paid by you to Tailor AI Studio for the specific service giving rise to the claim in the twelve months preceding the claim. This limitation applies regardless of the form of action, whether in contract, tort, strict liability, or otherwise.

10. Confidentiality

I respect the confidentiality of your business information and treat all client data with discretion. I will not share your proprietary business information, project details, or personal data with third parties without your explicit consent, except as required by law or as necessary to deliver my services (such as sharing files with a printing vendor for print projects).

This confidentiality obligation does not apply to information that is or becomes publicly available through no fault of mine, information I already knew before you shared it with me, or information I receive from a third party without restriction. If you require a formal Non-Disclosure Agreement (NDA) for your project, please request one before sharing sensitive information.

11. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the United States and the state in which I operate, without regard to its conflict of law provisions.

Any disputes arising from or related to these terms or my services that cannot be resolved through good-faith negotiation will be subject to binding arbitration in accordance with the rules of the American Arbitration Association. Both parties agree to waive the right to a jury trial and to participate in class action lawsuits.

12. Changes to Terms

I reserve the right to modify these Terms of Service at any time. Changes will be effective immediately upon posting to my website. I will update the "Last updated" date at the top of this page whenever changes are made. For significant changes, I may also notify active clients by email. Your continued use of my services after changes are posted constitutes your acceptance of the modified terms. If you do not agree to the updated terms, please discontinue use of my services and contact me to discuss your options.
